Confidentiality Notice and Non-Disclosure Agreement

This website and all information contained herein ("Confidential Information") is being shared with you in strict confidence for limited business purposes. This notice is presented by StreamCharge s.r.o., a Czech limited liability company, with its registered office in Prague, Czech Republic ("StreamCharge").

1. Confidential Information

The Confidential Information includes all information made available through this website, including but not limited to:

• Business models, concepts, and strategic plans
• Technical specifications, protocols, and system architecture
• Product designs, features, and development roadmaps
• Financial projections and pricing strategies
• Marketing strategies and business development plans
• User interface designs and user experience elements
• Trade secrets and proprietary methodologies
• Any other non-public information accessible through this website

2. Your Obligations

By accessing this website, you agree to:

• Maintain strict confidentiality of all Confidential Information
• Not disclose any Confidential Information to third parties without StreamCharge's prior written consent
• Use the Confidential Information solely for evaluating a potential business relationship with StreamCharge
• Not use the Confidential Information for competitive purposes or personal gain
• Apply reasonable security measures to protect the Confidential Information, using at least the same degree of care you use for your own confidential information, but in no event less than reasonable care
• Immediately notify StreamCharge of any unauthorized disclosure or use

3. Exceptions

This confidentiality obligation does not apply to information that:

• Was already known to you prior to disclosure by StreamCharge
• Is or becomes publicly available through no fault of yours
• Is independently developed by you without reference to the Confidential Information
• Is rightfully received from a third party without confidentiality restrictions
• Must be disclosed by law or court order (provided you notify StreamCharge immediately and cooperate in limiting such disclosure)

4. Intellectual Property Rights

You acknowledge and agree that:

• All Confidential Information remains the exclusive property of StreamCharge
• The Confidential Information may be protected by patents, trademarks, copyrights, trade secrets, and other intellectual property rights under Czech, EU, and international law
• This Agreement grants you no rights or licenses except the limited right to review the Confidential Information for the stated purpose

5. Duration and Termination

Your confidentiality obligations shall continue for five (5) years from the date of this agreement or until the Confidential Information becomes publicly available through no breach of this agreement, whichever occurs first.

6. Legal Remedies

You acknowledge that breach of this agreement may cause irreparable harm to StreamCharge. StreamCharge shall be entitled to seek injunctive relief and other equitable remedies, in addition to all other available legal remedies, without the need to post bond.

7. Data Protection

This agreement and your access to the website will be processed in accordance with the General Data Protection Regulation (GDPR) and Czech data protection laws. Your personal data will be processed solely for the purpose of managing this confidentiality relationship and protecting StreamCharge's legitimate interests.

8. Governing Law and Jurisdiction

This agreement shall be governed by the laws of the Czech Republic. Any disputes shall be subject to the exclusive jurisdiction of the courts of Prague, Czech Republic.

9. Entire Agreement

This constitutes the entire agreement regarding confidentiality between you and StreamCharge and supersedes any prior understandings.
